Company: Adya Samarth Venture Private Limited (“Company”, “we”, “our”, “us”)
Program: DivyaMandir Affiliate Program (“Program”)

By participating, you (“Affiliate”, “you”) agree to the following terms.

1. Enrollment

1. Application is required through Shopify Collabs.
2. We may accept or reject any application at our sole discretion.

2. Commission & Program Terms

1. Programme Schedule
   Commission rates, referral confirmation windows, payout thresholds, and other commercial details are not part of this public Agreement. They will be communicated separately to approved Affiliates in a Programme Schedule (e.g., “DivyaMandir Standard Programme”), which shall form an integral part of this Agreement.
2. Right to Modify
   DivyaMandir may, at its sole discretion, modify commission structures, referral rules, or add/remove programmes from time to time. Any such change shall apply prospectively and shall be notified to the Affiliate through the Affiliate portal or registered email.
3. Binding Nature
   By continuing participation in the Affiliate Program after receipt of any updated Programme Schedule, the Affiliate accepts and agrees to the revised terms.

3. Promotion Rules

1. You may promote DivyaMandir products only through lawful and ethical means.
2. Misleading, spam, cookie stuffing, impersonation, or unauthorized paid ads using our brand are prohibited.
3. Breach may result in immediate termination and forfeiture of unpaid commissions.

4. Referrals

1. Referrals are tracked via Shopify Collabs.
2. A confirmation period (as specified in the applicable Programme Schedule) applies before commissions are credited.
3. Only valid, confirmed sales (net of refunds, taxes, shipping and discounts) earn commission.

5. Payouts

1. Frequency: Monthly or as specified in Shopify Collabs.
2. Threshold: As specified in the applicable Programme Schedule (balances below this roll over).
3. Default Method: Payouts may be made via Shopify Collabs auto-pay.
4. Processing Fees: Processing fees (charged by Shopify Collabs) are costs borne by the Company. Affiliates always receive their full earned commission.
5. Flexibility: The Company reserves the right, at its sole discretion, to change the payout method at any time, including moving to manual payouts (e.g., bank transfer, UPI, or other methods).
6. Disclaimer: The Company is not liable for delays or failures caused by third-party payment processors, banks, or currency conversion systems. Affiliates must provide correct and updated payment/tax details to receive payouts.

6. Taxes

1. Affiliates are responsible for their own tax compliance.
2. For Indian affiliates:
   1. Commissions may be subject to TDS under Section 194H.
   2. At our discretion, we may:
      1. Deduct TDS from your payout and deposit it with the Government; or
      2. Treat payouts as gross, deposit TDS out of our own funds, and issue Form 16A.
   3. Affiliates registered under GST must provide valid GST invoices where applicable.
   4. Our decision on treatment of TDS shall be final and binding.
3. For Foreign affiliates:
   1. Banks may deduct conversion or payment fees, for which we are not responsible.

7. Termination

1. Either party may terminate this Agreement at any time.
2. Upon termination, only valid, confirmed commissions will be paid, subject to payout rules.

8. Liability

1. Participation is at your own risk.
2. DivyaMandir is not liable for lost profits, indirect or incidental damages.
3. Our maximum liability is limited to commissions properly due and payable to you in the past 6 months.

9. Modifications

1. We may update this Agreement, commission structure, or payout process at any time.
2. Changes will be effective prospectively and notified via email or the Affiliate portal.
3. Continued participation constitutes acceptance of such changes.

10. Governing Law

1. This Agreement is governed by the laws of India.
2. Courts in Dehradun shall have exclusive jurisdiction.
